Clinical InfoNet "CINI" Terms of Use Acceptance of terms

The services that CINI provides to you on or in connection with the Clinical InfoNet Web Site (“Clinical InfoNet or CINI”) are subject to the following Terms of Use ("TOU"). CINI reserves the right to update the TOU at any time without notice to you. Description of Services

Software and other merchandise available through Services

Any software that is made available to download through the Services (“Software”), whether on the Clinical InfoNet Web site or a Third Party Site, is the proprietary work of its respective supplier. Use of such software is governed by the terms of the end user license agreement, if any, which accompanies or is included it. (“License Agreement”).

IN NO EVENT SHALL CINI AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF Clinical InfoNet OR ANY SOFTWARE, INFORMATION, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM Clinical InfoNet OR THE SERVICES.

No unlawful or prohibited use

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any CINI server, or the network(s) connected to any CINI server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized accCINI to any Services, other accounts, computer systems or networks connected to any CINI server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

Use of Services

The Services may contain mCINIage or communication facilities designed to enable you to post merchandise ratings and reviews and otherwise communicate with others (each a "Communication Service" and collectively "Communication Services"). You agree to use the Communication Services only to post, send and receive mCINIages and material that are proper. By way of example, and not as a limitation, you agree that when using the Communication Services, you will not:

Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

CINI has no obligation to monitor the Communication Services. However, CINI reserves the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. CINI reserves the right to terminate your accCINI to any or all of the Communication Services at any time, without notice, for any reason whatsoever.

CINI reserves the right at all times to disclose any information as CINI deems necCINIary to satisfy any applicable law, regulation, legal procCINI or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in CINI's sole discretion.

Always use caution when giving out any personally identifiable information about yourself or your children in any Communication Services. CINI does not control or endorse the content, mCINIages or information found in any Communication Services and, therefore, CINI specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Services. Managers and hosts are not authorized CINI spokespersons, and their views do not necCINIarily reflect those of CINI.

No compensation will be paid with respect to the use of your Submission, as provided herein. CINI is under no obligation to post or use any Submission you may provide and CINI may remove any Submission at any time in its sole discretion.
By Posting a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necCINIary for you to provide, post, upload, input or submit the Submissions.

LIABILITY LIMITATION; YOUR EXCLUSIVE REMEDY

IN NO EVENT WILL CINI BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THIS AGREEMENT OR YOUR USE OF Clinical InfoNet OR THE SERVICES, EVEN IF CINI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (1) BREACH OF CONTRACT, (2) BREACH OF WARRANTY, (3) NEGLIGENCE, OR (4) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE Clinical InfoNet OR SERVICES, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST ANY CINI PARTY WITH RESPECT TO THIS AGREEMENT OR THE Clinical InfoNet OR SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE Clinical InfoNet OR THE SERVICES, AS APPLICABLE.
